Contract terms relating to governing law and jurisdiction:
This Engagement shall be governed by, and construed in accordance with, English Law. The Courts of England shall have exclusive jurisdiction in relation to any claim, dispute or difference concerning this Engagement and any matter arising from it. Each party irrevocably waives any right it may have to object to an action being brought in those Courts, to claim that the action has been brought in an inappropriate forum, or to claim that those Courts do not have jurisdiction.
We welcome any feedback from our clients if the services provided do not meet the level expected. We will endeavour to ensure that any problems are resolved immediately.
Our fees are computed on the basis of time spent on your affairs by our partners and staff and on the level of skill and responsibility involved. Unless otherwise agreed, our fees will be billed on the completion of our services and upon the presentation of the documentation; they will be due once rendered.
In the event that this firm ceases to act in relation to your company’s affairs you agree to meet the fees for work performed and all reasonable costs of providing information to the company’s new advisors. In particular you agree to:
- Failure to pay our fees by the due dates or
- Either party being in breach of their obligations where this is not corrected within 30 days of being asked to do so.
This agreement may be terminated for any reason if 90 days notice is given.

Dispute Resolution Procedure:
If the professional and ethical standards of our firm do not meet the reasonable expectation of our clients, ICAEW is responsible for disciplining us. However, before you make a formal complaint to ICAEW it is requested that you give us an opportunity to address your concerns. Please write to us and set out clearly your complaint and where appropriate, explain what steps you would like us to take to resolve the problem. We are required by ICAEW to investigate the complaint and we will do our best to resolve the issue. If it is not possible to resolve, the matter can be taken up by ICAEW.
